These Terms of Service (“Terms”) govern the use of WhatsApp automation, CRM, lead management, notification, reminder, learning, and task management services provided by Incube Innovation Incubator LLP(“Incube”, “we”, “our”, or “us”).
By using our website, platform, software, integration, or related services, you agree to these Terms.
1. About Incube
Incube Innovation Incubator LLP is a software development and technology solutions company based in Hyderabad, India. We provide business software, automation systems, CRM tools, and WhatsApp-based communication solutions for organizations.
Our WhatsApp-related services help businesses manage communication with their customers, students, leads, users, or team members through WhatsApp Business API-powered workflows.

- Lead management through WhatsApp
- WhatsApp CRM
- Business notifications
- Learning updates through WhatsApp
- Fee reminders
- Task reminders and internal coordination
- Customer updates and approved WhatsApp messages

The exact services provided to each client may depend on the selected plan, proposal, agreement, or project scope.
3. Client Responsibilities
Clients using our services agree to:
- Provide accurate business and contact information
- Use the service only for lawful business purposes
- Send messages only to users they are permitted to contact
- Follow WhatsApp Business policies and applicable laws
- Avoid spam, fraud, misleading messages, or unauthorized communication
- Maintain the confidentiality of their login credentials
- Ensure that customer data uploaded to the platform is collected and used lawfully
- Review and approve message templates or communication flows where required
Clients are responsible for the content of messages they send using our platform.
4. WhatsApp Business and Third-Party Platforms
Our services may depend on WhatsApp Business Platform, Meta services, hosting providers, payment providers, and other third-party systems.
Incube does not control WhatsApp, Meta, or third-party platform policies, approvals, restrictions, pricing, downtime, account decisions, or service limitations.
Clients understand that:
- WhatsApp message templates may require approval
- WhatsApp or Meta may reject, pause, restrict, or review accounts or templates
- Message delivery may depend on user availability, platform rules, quality rating, limits, or third-party systems
- Meta or WhatsApp pricing, policies, and access rules may change from time to time
5. Acceptable Use
Clients must not use our services for:
- Illegal, harmful, abusive, or fraudulent activity
- Spam or unauthorized bulk messaging
- Misleading promotions or false claims
- Harassment, hate, threats, or abusive communication
- Sending prohibited content under WhatsApp, Meta, or applicable law
- Attempting to hack, overload, reverse engineer, or misuse the platform
- Collecting or using personal data without proper authorization
We may suspend or restrict service access if we believe the platform is being misused.
6. Platform Data Usage
Incube uses platform data only to provide the requested communication and automation services to the respective client.
This may include sending approved messages, receiving replies, updating lead or customer status, showing message history, displaying delivery status, and supporting related business workflows.
Incube does not sell platform data, share it with unrelated third parties, or use it for unrelated purposes.
7. Payments and Fees
Fees for our services may be based on setup charges, monthly subscriptions, custom development costs, usage-based charges, or other agreed pricing.
Payment terms will be shared separately through quotation, invoice, agreement, or proposal.
Unless otherwise stated:
- Setup fees may be non-refundable once work has started
- Subscription fees are payable as per the selected plan
- Third-party charges, including WhatsApp/Meta charges, may be billed separately or included depending on the agreement
- Delayed payments may result in service suspension
8. Service Availability
We aim to provide reliable services, but we do not guarantee uninterrupted or error-free operation.
Service availability may be affected by:
- Server maintenance
- Internet issues
- Third-party downtime
- WhatsApp or Meta platform limitations
- Technical errors
- Client-side configuration issues
- Security or compliance reviews
We will make reasonable efforts to resolve service issues reported by clients.
9. Custom Development and Integrations
If a client requests custom features, dashboards, CRM workflows, integrations, automations, or software modules, the scope, timeline, pricing, and responsibilities will be defined separately.
Changes outside the agreed scope may require additional time and cost.
10. Data and Confidentiality
Both Incube and the client agree to handle business information responsibly.
Client data will be used only for providing the agreed services. Clients must also protect access credentials, customer data, exported reports, and communication records from unauthorized use.
11. Intellectual Property
The platform, software, design, workflows, documentation, and related materials developed by Incube remain the intellectual property of Incube unless otherwise agreed in writing.
Clients may use the service for their internal business operations as per the agreed terms.
12. Limitation of Liability
Incube is not responsible for indirect, incidental, special, or consequential losses, including loss of profits, loss of business, loss of data, loss of reputation, or third-party platform decisions.
Our liability, if any, will be limited to the amount paid by the client for the specific service giving rise to the claim, subject to applicable law.
13. Suspension or Termination
We may suspend or terminate access to the service if:
- The client violates these Terms
- Payment is overdue
- The service is used for spam, fraud, or prohibited activity
- Required business verification or compliance is not completed
- Third-party platform access is restricted
- Continued service may create legal, security, or platform risk
Clients may discontinue the service by informing Incube as per the agreed payment or subscription terms.
14. Changes to These Terms
We may update these Terms from time to time. Updated versions will be published on this page with the revised effective date.
Continued use of the service after updates means acceptance of the revised Terms.
